SMS Terms of Service (Mobile Terms)

Program Description

Clockwork is a SaaS ordering platform that businesses use to manage and communicate purchase orders with their vendors and suppliers. When a messaging program is approved and enabled, businesses using Clockwork ("Business Users") may send automated, order-related transactional text messages ("SMS Messages") to consenting vendors and suppliers ("Recipients") through Clockwork's messaging platform, powered by Twilio.

SMS messaging is available only after the Business User's program is approved and enabled by Clockwork. Until those gates are complete, Clockwork does not send SMS Messages for that Business User.

SMS Messages sent through this program are strictly transactional and order-related. Examples include, but are not limited to:

  • New order requests and order confirmations
  • Order status updates (e.g., accepted, shipped, delayed, fulfilled)
  • Requests for order acknowledgment or clarification
  • Reminders related to pending or upcoming orders

Clockwork does not use this program to send marketing, promotional, or advertising messages. Messages are sent on behalf of the Business User to facilitate the ordering relationship between that Business User and its Recipients.

Consent and Opt-In

Before Clockwork sends any SMS, the Business User must obtain the Recipient's prior express consent—and prior express written consent whenever required—for that specific sender and for order-related messages. The Business User must retain proof of the consent, including when and how it was obtained. Consent may not be bought, sold, rented, transferred, or supplied on a Recipient's behalf by another party.

Only after that prior consent is recorded and the messaging program is enabled may Clockwork send a confirmation message that identifies the Business User and Clockwork, describes the order-related program, and explains message frequency, message and data rates, and how to opt out or get help. The Recipient must reply YES to confirm enrollment before recurring order-related SMS Messages begin. The confirmation message itself is not used to solicit consent from someone who has not already consented.

Message Frequency

Message frequency varies and is based on the ordering activity between the Recipient and the Business User. Recipients may receive multiple messages per week during active ordering periods, or no messages during periods of no order activity.

Message and Data Rates

Message and data rates may apply. Charges may be imposed by your wireless carrier for messages sent and received through this program. Please contact your wireless carrier for details about your specific text messaging or data plan.

Opt-Out Instructions

Recipients may opt out of receiving SMS Messages from a Business User at any time by replying STOP to any message received. After sending STOP, Recipients will receive one final confirmation message indicating that they have been unsubscribed and will no longer receive SMS Messages from that Business User. Recipients who opt out will not receive further order-related texts unless they later provide new prior express consent through an approved opt-in method.

Opting out of SMS Messages does not cancel or otherwise affect any underlying order, business relationship, or account the Recipient may have with the Business User. Recipients should contact the Business User directly through other means to manage their orders after opting out.

Consent Is Not a Condition of Purchase

Consent to receive SMS Messages through this program is not required as a condition of purchasing any goods or services from a Business User. Recipients may conduct business with a Business User through alternative means (such as phone, email, or other communication channels) without enrolling in this SMS program.

Supported Carriers

This program is available on most major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages. Coverage and message delivery may vary depending on the Recipient's carrier, device, network conditions, and location.

Privacy

Information collected in connection with this SMS program is used in accordance with our Privacy Policy. This includes how we collect, use, store, and protect phone numbers and related messaging data.

Changes to These Terms

We may update these SMS Terms of Service from time to time. Material changes will be reflected by updating the "Effective Date" above. Continued participation in the SMS program after changes take effect constitutes acceptance of the revised terms.
